Process

The University receives research funding from the United States federal government in the form of grants. Research may also be funded by private corporations. Contractual agreements ensure compliance with all policies and regulations stipulated by the funding agency and the University.

Our Office conducts legal review of the agreements listed below. Our Office's role is to work alongside the Office of Research and Sponsored Programs to negotiate and review the relevant provisions of these agreements. All legal review is subject to final approval from the Office of General Counsel.

Agreements reach our Office in one of two ways. First, the inventor may directly email the agreement to our Office for review. Second, the inventor's Project Administrator in our Office of Research and Sponsored Programs may forward the agreement on to our Office. Our Office, the inventor, and the Office of Research and Sponsored Programs communicate with one another to finalize the terms of each agreement applicable to the inventor's research program.

Types of Agreements

Confidentiality/Non-Disclosure Agreement
A confidentiality or non-disclosure agreement is a contract between the University and all other parties involved in the research program where the parties agree not to publicly share, or disclose, certain information resulting from the research relationship.

Collaboration Agreement
A collaboration agreement is a contract between the University and an organization, which are cooperating in a research program, governing the relationship to conduct research together.

Data Transfer/Use Agreement

Why a Data Agreement is Important

A Data Agreement is a written contract governing the transfer of data, including human subject data, between entities for the purposes of research. These agreements can be set up between academic institutions, non-profits, government agencies, and/or corporate entities. The Data Agreement will govern data ownership, permitted uses of the data, publication of results, development of inventions, disposal of the data, and liability.
